Corporate Finance Leadership

> CFO for CPG company - Led all aspects of accounting, financial reporting, FP&A, internal controls, banking and credit card processing relationships and other Finance activities. - Supported operational activities such as pricing, discounting, inventory management and budgeting. -Managed the company's first financial statement audit, resulting in unqualified opinion from Big Four firm. - Managed presentations and due diligence activities in connection with raising investment funds and subsequently the sale of the company. > Interim CFO of Private Equity Company. - Joined upon departure of previous CFO and managed all aspects of Finance activities for 16 months until the onboarding of a new permanent CFO. ERP Assessment and Implementation

- Participated on committee as CFO together with CTO and third-party advisor to perform an ERP selection and implementation effort for a consumer products manufacturing, marketing and distribution company. Coordinated with stakeholders to prepare business and technical requirements, submitted opportunities for RFP to 5 vendors, evaluated proposals, set objectives and participated in demonstrations, negotiated and contracted licencing and implementation services. Participated in the design and configuration, testing and implementation. Completed implementation of core functionality within 3 months of contracting. - Maintained role to oversee and approve training, system enhancements, change orders and implementation of additional functionality as well as ongoing maintanance and troubleshooting support - Participated on assessment team to assist client with ERP assessment and selection process including requirements criteria and assessment of vendor capabilities

IPO Readiness and Execution; SEC Periodic Reporting

Led multiple projects as an advisor to company Boards of Directors and Management teams to: - assess public company readiness, design and implement enhancements to prepare for public company requirements. Components include personnel and organizational structure, third-party advisors, accounting and financial reporting activities including PCAOB audit support, internal controls and operational functions - Preparation of Registration Statement (Form S-1, F-1) including drafting required items and coordinating with other parties (bankers, auditors, investor relations, legal counsel, etc.) - Preparation of SEC financial statements, footnotes, MD&A (management discussion and analysis of financial position and results of operations) and other disclosures - Assist with process of filing Registration Statement with SEC and responding to SEC comment letters - Ongoing periodic reporting on Forms 10-Q and 10-K including related support with internal process and audit activities

Financial Reporting
and Technical Accounting

- Served as the first CFO to a start-up consumer product company that had grown organically to $40+ million annual revenue. Prepared the first GAAP financial statements and obtained a Big Four audit (unqualified). Built team of Controller and Accountants to manage accounting and financial reporting activities - Hired from Big Four accounting firm to establish and lead the SEC Reporting function of an international financial services company, following participating on the IPO audit team. Built and managed the function for several years before grooming and transitioning - Consulted with public and private companies to prepare financial statements for relevant audiences, including lenders, owners, BODs and SEC - Prepared technical accounting position memorandums to support accounting and disclosure treatment in accordance with U.S. GAAP, SEC requirements and other standards, and to support audit procedures. Nature of assessments includes new pronouncements/ rules, evolving business activities, internal control documentation, audit support and accounting policy formalization

Internal Control and
Sarbanes-Oxley

> Multiple large scale first-year SOX implementation and internal control enhancement efforts - Participated on leadership team of national insurance company to assess the requirements of The Sarbanes-Oxley Act of 2002, and to manage the first and second year program following the effective date of the Act. This included designing, documenting, implementing and evaluating a system of internal controls for its two corporate office locations and coordination with external auditors to support their assessment - Partnered with the head of internal audit of a global manufacturing company to implement SOX-compliant internal controls throughout decentralized facilities of an acquired company. This effort included visiting facilities throughout Europe and Asia to initially provide education and training, then to implement a consistent set of controls within each location to address process-level activities, along with entity-level controls to efficiently manage control activities and evaluate effectiveness > Incorporated internal control activities into IPO readiness client engagements and established public companies > Served as outsourced internal audit function to company upon its IPO > Implemented controls as CFO and Director of SEC Reporting for different companies

Executive Presentations to BOD, Management, Investors

Preparation of presentations to audiences including executive management, investors, lenders and other stakeholders for various purposes, including: - Company overview of operating history, management, historical and forecast financial data, competetive landscape, product offerings and other value proposition information to potential investors of a Company where I served as CFO. Company ultimately acquired. - Presentation to executive leadership and BOD of multiple client companies regarding the project plan, timeline, status, obstacles and accomplishments regarding various project engagements (e.g., IPO readiiness, SOX implementation, corporate finance planning related to contemplated merger) - Periodic reporting to lenders - Design and presentation of financial and operating executive summaries for routine and ad hoc reporting to executive management, investors and directors

Financial Planning, Analysis, Budgeting and Diligence

- Prepared detailed annual operating and capital budgets for adoption, monitoring managing. Coordinated with functional leadership to assess components of costs and related benefits / needs of cost drivers, identify alternatives and opportunities for reductions and apply assumptions.
